Definitions
"Services" means ordernest.com, the OrderNest portal, POS, KDS, owner and staff apps, integrations, AI agents and support. "Customer Data" means data you or your users enter into, or that is generated by, the Services, including orders, stock, journal entries, payroll, customer and staff records. "Order Form" means the quote, plan selection or invoice that records what you have subscribed to.
Eligibility and accounts
You must be a business, or act for one, and the person accepting these terms must be authorised to bind it. You are responsible for your users, for keeping credentials confidential, and for everything done under your account. Tell us promptly at [email protected] if you suspect unauthorised use.
Licence
For the subscription term we grant you a non-exclusive, non-transferable licence to use the Services for your own restaurant operations, at the outlets covered by your Order Form. You may not resell, sublicense, copy, modify, reverse engineer, scrape or build a competing product from the Services, or use them to send unlawful or unsolicited messages.
Subscriptions, fees and payment
Platform fees are billed per outlet per year in advance. Agent fees are billed per outlet per month in advance. Prices exclude GST and other taxes, which are added to invoices. Usage-based items, such as voice minutes or messaging, are billed at the rates in your Order Form. Payment is due within 7 days of the invoice. Overdue amounts may attract interest at 1.5% per month and we may suspend access after 30 days of non-payment with notice. Fees may change at renewal with at least 30 days' notice.
Free trials and early access
Trials and early-access features, including agents marked "Early access" or "Coming", are provided as-is, may change or be withdrawn, and may not be suitable for production use. Early-access agents propose or take actions only within the permissions you set, and you remain responsible for reviewing and approving their output.
Customer Data
You own your Customer Data. You grant us the right to host, process and transmit it to provide the Services, to maintain backups, to improve the Services using aggregated and de-identified information, and as required by law. You are responsible for having the right to enter personal data about your staff and customers into the Services and for complying with laws that apply to your business, including GST, labour and consumer protection. Our Privacy Policy explains how we handle personal data.
Books, tax and professional advice
The Services keep books and produce reports from the data you enter. They do not replace a chartered accountant, tax adviser or statutory filing. You are responsible for reviewing entries, for the accuracy of data entered, and for all filings and payments to authorities. Figures shown by agents, forecasts and calculators are estimates based on your data and assumptions, not guarantees.
Integrations and third-party services
Integrations with aggregators, payment gateways, accounting software, messaging providers and other third parties depend on those providers' own terms, availability and APIs. We are not responsible for their services, fees, outages or changes. Payment processing is performed by the gateway you choose; we do not store full card numbers.
Intellectual property
The Services, their design, software, documentation and trademarks belong to IBEE Solutions Pvt Ltd or its licensors. Feedback you give us may be used without obligation. Nothing in these terms transfers ownership of the Services to you or of your Customer Data to us.
Acceptable use
You will not use the Services to break the law, to bill for goods or services you do not supply, to evade tax, to send messages to people who have not consented, or to interfere with other customers or our infrastructure. We may suspend accounts used in breach of this section.
Availability and support
We aim for the Services to be available at all times, with planned maintenance announced in advance. Offline billing continues when the connection drops and syncs when it returns. Support is provided on WhatsApp and email during business hours in India, with priority support for the agents tier as set out in your Order Form.
Warranties and disclaimers
Except as expressly stated, the Services are provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be error-free or uninterrupted, or that agent suggestions will achieve any particular financial result.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, including lost profits or data, and our total liability under these terms in any 12-month period is limited to the fees you paid us in that period. These limits do not apply to a party's wilful misconduct, fraud or breach of confidentiality.
Indemnity
You will indemnify us against third-party claims arising from your Customer Data, your use of the Services in breach of these terms, or your breach of law. We will indemnify you against third-party claims that the Services, used as permitted, infringe Indian intellectual property rights.
Term, suspension and termination
The subscription runs for the term in your Order Form and renews automatically unless either party gives 30 days' notice before renewal. Either party may terminate for material breach not cured within 30 days of notice. On termination you may export your Customer Data for 180 days, after which it is deleted as described in the Privacy Policy. Fees already paid are not refunded except as set out in the Refund Policy.
Changes to the Services and these terms
We may improve or change features over time. We may update these terms with at least 15 days' notice by email or in the portal; continued use after the effective date is acceptance. If a change materially reduces the Services you pay for, you may terminate and receive a pro-rata refund of prepaid fees for the remaining term.
Governing law and disputes
These terms are governed by the laws of India. Courts in Hyderabad, Telangana have exclusive jurisdiction. Before starting proceedings, the parties will try in good faith to resolve the dispute through discussion between senior representatives for 30 days.
